TAESA announces Corporate Restructuring


MATERIAL FACT

Rio de Janeiro, May 17,2012 - Companhia Energética de Minas Gerais - CEMIG (CMIG3; CMIG4; CIG; CIG.C) (“Cemig”), CEMIG Geração e Transmissão S.A (“Cemig GT”) and Transmissora Aliança de Energia Elétrica S.A. - TAESA (TRNA11) (“Taesa”), pursuant to Article 157, Paragraph 4 of Law 6,404 of December 15, 1976, as amended (“Brazilian Corporation Law”) and CVM Rule 358 of January 3, 2002, as amended, announce to shareholders and the market in general that on this date, entered into a Private Instrument of Investment in Transmission Assets and Other Covenants, and the parties agreed to transfer to Taesa the minority interest held by Cemig and Cemig GT in the share capital of electric power transmission public utility concessionaires (i) Empresa Catarinense de Transmissão de Energia S.A. - ECTE; (ii) Empresa Regional de Transmissão de Energia S.A. - ERTE; (iii) Empresa Norte de Transmissão de Energia S.A. - ENTE; (iv) Empresa Paranaense de Transmissão de Energia S.A. - ETEP; (v) Empresa Amazonense de Transmissão de Energia S.A. - EATE and (vi) Empresa Brasileira de Transmissão de Energia S.A. - EBTE. (“Corporate Restructuring”).

Within the scope of the Corporate Restructuring, Taesa will disburse the amount of one billion, seven hundred and thirty-two million reais (R$1,732,000,000.00) of which, one billion, six hundred, sixty-seven million, eight hundred and ninety-five thousand reais (R$1,667,895,000.00) for Cemig and sixty-four million, one hundred and five thousand reais (R$64,105,000.00) for Cemig GT, adjusted by CDI (interbank deposit rate) as of December 31,2011, less dividends and/or interest on equity declared, paid or not.
