TAESA announces issue of commercial promissory notes


NOTICE TO THE MARKET

Rio de Janeiro, May 25,2012 - Pursuant to the provisions in the Brazilian Securities and Exchange Commission (“CVM”) Rule no. 358 of January 3, 2002, as amended, Transmissora Aliança de Energia Elétrica S.A. (“Company”) hereby announces to its shareholders and the market in general that on May 25, 2012 it conducted the fifth issue of commercial promissory notes, in a single series, for public distribution with restricted placement efforts and firm placement commitment, in accordance with CVM Rule no. 476 of January 16, 2009 ("Promissory Notes" and "Offer", respectively), and is therefore automatically exempted from registering the distribution with the CVM.

The Company issued 181 Promissory Notes with nominal unit value of R$5,000,000.00, totaling R$905,000,000.00. The Promissory Notes will mature within 360 days as of the issue date. The nominal unit value of the Promissory Notes will not be adjusted for inflation. The Promissory Notes will pay interest of 104.00% of the average Interbank Deposit rate (over extra group), as disclosed by the Organized Over-the-Counter Market for Assets and Derivatives (CETIP), to be paid on the Promissory Notes’ maturity date.

The Offer was approved by the Company’s Board of Directors’ Meeting held on May 7, 2012 and by the Extraordinary Shareholders’ Meeting held on May 23, 2012. The proceeds from the issue of the Promissory Notes will be used to pay the amount agreed upon in the Share Purchase Agreement executed on March 16, 2012 between the Company and Abengoa Concessões Brasil Holding S.A. for acquisition, by the Company, of 50% of the shares issued by União de Transmissoras de Energia Elétrica S.A. - UNISA, as per the material fact disclosed to the market on March 16, 2012, as well as to reinforce the Company‘s cash position.
