Pursuant to the Agreement for the Adoption of Differentiated Corporate Governance Practices \u2013 Level 2, (i) The Chairman of the Board of Directors shall be chosen from among the elected members, and there shall be no accumulation of the positions of Chairman of the Board of Directors and Chief Executive Officer of the Company, (ii) the Company&#8217;s Board of Directors shall have at least 20% of independent board members, who must be identified as such in the minutes of the General Meeting that elect them, and (iii) the decisions of the Board of Directors shall be made by affirmative vote of the absolute majority of the present members, except for decisions relating to matters set forth in the Company&#8217;s Bylaws, which requires at least 9 (nine) Board members&#8217; approval for its respective implementation.<\/p>\n<p>TAESA&#8217;s Board of Directors is responsible for the general guidance of its business. Among other duties, it is responsible for electing and removing the members of its Executive Board, in addition to overseeing the performance of their duties.
